Composition of the National Retail Advisory Board
The size of the Board should range from 12-16 members. The Board should have a balanced membership, with representation of relevant areas of experience, types of expertise, and backgrounds. A substantial majority of the members of the Advisory Board should be independent members. To be considered independent, an outside director may not have a direct or indirect material relationship with the Department of Retailing at the University of South Carolina.
Qualifications of Members
To be considered for membership onthe Department of Retailing Advisory Board, a candidate should meet the following criteria:
- must be, above all, of proven integrity with a record of substantial achievement in an area of relevance to the Department of Retailing;
- must have demonstrated ability and sound judgment that usually will be based on broad experience;
- must be willing and able to devote the required amount of time to the Department of Retailing's affairs, including attendance at Advisory Board meetings, and Advisory Board committee meetings;
- must possess a judicious and somewhat critical temperament that will enable objective appraisal plans and programs; and
- must be committed to building sound, long-term departmental growth.
Assessment of the National Advisory Board
Annually, the Advisory Board shall assess its effectiveness as a body and take any necessary steps to improve its collective capacity to represent the Department of Retailing. In the event it is believed that an individual director is not making meaningful contributions to the overall effectiveness of the Board, the Advisory Board Chairman or another Board member should raise the matter with the Governance Committee. The Governance Committee will seek the views of other Board members and, if appropriate, make a recommendation to the full Advisory Board regarding the future role of the director in question.
Advisory Board Committees
Governanace Committee: considers and makes recommendations on matters related to the practices, policies and procedures of the Department of Retailing Advisory Board.
Executive Committee: Acts for the Advisory Board when formal Board action is require between meetings on matters already approved in principle by the full Board or to fulfill the formal duties of the Advisory Board.
Finance Committee: considers and makes recommendations on matters related to the financial affairs and policies of the Advisory Board.
Chairmanship on Public Policy and Social Responsibility: advises the Advisory Board regarding management on Departmental policies and practices that pertain to the Department of Retailing’s responsibilities as a global citizen,
its obligations as a Department, and its commitment to high standards of ethics and integrity.
Chairmanship of Meetings
In absence of the Chairman, the Co-Chair shall preside at all meetings of the Board of Directors.
Meetings
The Advisory Board meets four times annually on the fourth Thursday of the month of September, November, February, and May. The September, November, and May meetings are held on the University of South Carolina campus. The February meeting is a weekend retreat held at the Biltmore Estate in Ashville NC. Spouses, significant others and families are welcome at the February retreat.
Philosophy and Functions of the Department of Retailing Advisory Board
The primary mission of the Department of Retailing Advisory Board is to represent and protect the interests of the College of Hospitality, Retail, and Sport Management and the Department of Retailing. In so doing, the Board has oversight function and should be exercised through the election and appointment of competent officers. The Board has an obligation to keep informed in order to assist management in formulating and developing plans; it also serves as a body to review and provide advice regarding management and operations. These duties should be discharged by the full Board, the Board's committees, or the independent members of the Board as appropriate in the circumstance.
Specifically, the Board, as a body or through its committees or members, should encourage the long-term success of the Department of Retailing by exercising sound and independent judgment with respect to:
- identifying significant strategic and operational issues;
- being sensitive to the public and political environment, taking into account its responsibility;
- annually evaluating the effectiveness of the Board as a body;
- determining the structure, composition, and responibilities of the committees of the Board;
- remaining knowlegeable about the Department of Retailling affairs and developments through regular attendance at Board and Board committeee meetings and review of meeting materials in advance of those meetings;
- remaining knowlegeable about public views and concerns;
- meeting no less frequently than three times annually in executive session to allow full and candid discussion among the Board members on matters of importance to the Department of Retailing; and
- becoming exposed to a variety of perspectives on matters of importance to the Department.
